1. XCEL TALENT provides its Service (as defined below) to You through its web site located at http://www.xceltalent.com/ (the “Site”), subject to this TERMS OF SERVICES and the terms of Your Services Agreement. XCEL TALENT owns and operates the Site to provide a lead-generation and information-sharing platform and related technology services to consumer product owners (Brands) and individuals wishing to review and comment on consumer products (Creators) (the Services). By accepting this TERMS OF SERVICES or by accessing or using the Service or Site, You acknowledge that You have read, understood, and agree to be bound by this TERMS OF SERVICES. In the event of a conflict of terms between this TERMS OF SERVICES and your Services Agreement, the terms of your Services Agreement shall govern your relationship solely with respect to any such conflicting terms.   If You are entering into this Agreement on behalf of a company, business or other legal entity, You represent that You have the authority to bind such entity and its affiliates to this Agreement, in which case the terms “You” or “Your” shall refer to such entity and its affiliates. If You do not have such authority, or if You do not agree with this TERMS OF SERVICES, You must not accept this TERMS OF SERVICES and may not use the Service. As part of the registration process, You will identify one or more administrative user names and passwords for Your account (“Account”).
2. XCEL TALENT may change this TERMS OF SERVICES from time to time by providing thirty (30) days prior notice either by emailing the email address associated with your Account or by posting a notice on the Site. You can review the most current version of this TERMS OF SERVICES at any time at http://www.danceinfluencers.com/terms-of-service/.  The revised terms and conditions will become effective thirty (30) days after we post or send you notice of such changes, and if you use the Service after that date, your use will constitute acceptance of the revised terms and conditions.

The “Service” is an online platform and API portal through which Brands may request for interested Creators, Creators may respond to the Brands requests, and Brands and Creators may enter into Agreements. XCEL TALENT will manage everything from casting to agreements, to creator relations to talent management and reporting, invoicing and payment. For these Services, XCEL TALENT will collect an industry standard Twenty Percent (20%) Service Fee of the Gross Compensation, except that the Service Fee will be “taken off the top”, which means that it will be paid by the Brands and not by Creators. The platform provides access to profiles and audience demographic information for digital creators across major social channels.  The Service includes access to XCEL TALENT content and data (“XCEL TALENT Content”) such as reports, graphs and other presentations of data, as well as access to content and data that is not generated or maintained by XCEL TALENT (“Third Party Data”).  Notwithstanding anything to the contrary contained in this TERMS OF SERVICES or any Services Agreement, XCEL TALENT undertakes no representations or warranties with respect to Third Party Data presented on its platform.  Any new features added to or augmenting the Service are also subject to this TERMS OF SERVICES.

The Services are intended for persons who are 18 or older. By accessing or using the Services you represent and warrant that you are not legally prohibited from accessing the Services under the laws of the country in which you access or use them. If a minor, the Services should only be accessed and controlled by a parent or legal guardian.

1. The Service allows Creators to access information, and provides opportunities for Brands and Creators to initiate the registration process, receive a proposal, respond to a proposal, enter into an agreement, or engage with XCEL TALENT through provided communication options. To access and use the Services, you must register an account. XCEL TALENT offers two ways to create an account – direct registration using an email address, or registration via a third party social networking sites.
   Direct Registration: To create a User Account by using your email address, follow the prompts on the Site. You agree to provide accurate, current and complete information during registration and to update such information to keep it accurate, current and complete. You agree that you will safeguard your password and that you are solely responsible for any activities or actions under your User Account, whether or not you have authorized such activities or actions. You will immediately notify us of any unauthorized use of your User Account. You are solely responsible for your Content (defined below) and User Account. Registration via Third Party Service: If you are a Creator, you may also create a User Account via certain third party social networking sites (SNS) (including, but not limited to, Facebook) (each a Third Party Service) by following the prompts on the Site. You represent that you are entitled to disclose your Third Party Service account login information to us and to grant us access to your Third Party Service account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third Party Service account and without obligating us to pay any fees or making us subject to any usage limitations imposed by such Third Party Service providers.
   Linking Third Party Service Accounts After Registration: Whichever way you first create a User Account, you may also thereafter link it to your Third Party Service accounts, by either: (i) providing your Third Party Service login information through the Services; or (ii) expressly authorizing us to access your Third Party Service account, as is permitted under the applicable terms and conditions of each Third Party Service. You represent that you are entitled to disclose your Third Party Service login information to us and/or grant us access to your Third Party Service account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third Party Service and without obligating us to pay any fees or making us subject to any usage limitations imposed by such third party service providers. For example, to use any aspect of the Services which pertain to YouTube, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
   Whether you are a Brand, Creator, or other User, you acknowledge and agree that you are solely responsible for your User Account and all User Account information. You represent and warrant that any User Account information that you post, and any agreements you enter into with other Users (i) will not breach any agreements you have entered into with any third parties and (ii) will (a) comply with all applicable laws, tax requirements, licenses, rules and regulations that may apply to you and (b) not conflict with the rights of third parties.
2. AS STATED ABOVE, THE SERVICES ARE INTENDED TO BE USED TO FACILITATE BRANDS AND CREATORS CONNECTING AND ENTERING INTO AGREEMENTS THROUGH XCEL TALENT. XCEL TALENT CANNOT AND DOES NOT CONTROL THE CONTENT CONTAINED IN ANY BRAND OR CREATOR POSTED INFORMATION. XCEL TALENT IS NOT RESPONSIBLE FOR AND DISCLAIMS ANY AND ALL LIABILITY RELATED TO ANY AND ALL BRAND OR CREATOR POSTED INFORMATION, INCLUDING COMPLIANCE WITH APPLICABLE LAWS, RULES AND GUIDES (SUCH AS{‘ ‘} FTC GUIDES CONCERNING SPONSORED ENDORSEMENTS ).
3. Subject to the terms and conditions of this TERMS OF SERVICES, You may access and use the Service only for permitted purposes.  All rights, title and interest in and to the Service and its components will remain with and belong exclusively to XCEL TALENT.  Unless otherwise indicated in Your Services Agreement, You shall not (a) sublicense, resell, rent, lease, transfer, assign, time share or otherwise commercially exploit or make the Service available to any third party; including without limitation, the development of a competing platform or access point for use or access to XCEL TALENT Intellectual Property or the Third Party Data, (b) use the Service in any unlawful manner (including without limitation in violation of any data, privacy or export control laws) or in any manner that interferes with or disrupts the integrity or performance of the Service or its components, (c) modify, adapt or hack the Service to, or otherwise attempt to gain unauthorized access to the Service or its related systems or networks, or (d) store on any network, hard drive, computer or cloud-storage any XCEL TALENT Intellectual Property, XCEL TALENT Content or Third Party Data or other information obtained from the Services or the Site for any period of more than 3 days after termination or expiration of this Agreement.  You shall comply with any reasonable codes of conduct, policies or other notices XCEL TALENT provides You or publishes in connection with the Service, and You shall promptly notify XCEL TALENT if You learn of a security breach related to the Service.
4. Any software that may be made available by XCEL TALENT in connection with the Service (“Software”) contains proprietary and confidential information that is protected by applicable intellectual property and other laws.  You agree not to access the Service by any means other than through the interface that is provided by XCEL TALENT for use in accessing the Service. Any rights not expressly granted herein are reserved and no license or right to use any trademark of XCEL TALENT or any third party is granted to You in connection with the Service. XCEL TALENT reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) for any reason at all.
5. You are responsible for maintaining the confidentiality of Your login, password and account and for all activities that occur under Your login or account.  You are responsible for any content provided to XCEL TALENT (“Your Content”) and XCEL TALENT reserves the right to access Your Account in order to respond to Your requests for technical support and to investigate suspicious activity.
6. You understand that the operation of the Service, including Your Content, may be unencrypted and involve (a) transmissions over various networks; (b) changes to conform and adapt to technical requirements of connecting networks or devices and (c) transmission to XCEL TALENT’s third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to operate and maintain the Service.  Accordingly, You acknowledge that You bear sole responsibility for adequate security, protection and backup of Your Content.  XCEL TALENT will have no liability to You for any unauthorized access or use of any of Your Content, or any corruption, deletion, destruction or loss of any of Your Content. The Service may provide, or third parties may provide, links or other access to other sites and resources on the Internet. XCEL TALENT has no control over such sites and resources and XCEL TALENT is not responsible for anything contained therein or any result from use thereof.  You further acknowledge and agree that XCEL TALENT will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, events, goods or services available on or through any such site or resource.
7. You shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Services, including, without limitation, modems, hardware, server, software, operating system, networking, web servers, long distance and local telephone service (collectively, “Equipment”).  You shall be responsible for ensuring that such Equipment is compatible with the Services (and, to the extent applicable, the Software) and complies with all configurations and specifications set forth in XCEL TALENT’s published policies then in effect.  You shall also be responsible for maintaining the security of the Equipment, Your Account, passwords (including but not limited to administrative and user passwords) and files, and for all uses of Your Account or the Equipment with or without Your knowledge or consent.
8. The failure of XCEL TALENT to exercise or enforce any right or provision of this TERMS OF SERVICES shall not be a waiver of that right. You acknowledge that this TERMS OF SERVICES is a contract between You and XCEL TALENT, even though it is electronic and is not physically signed by You and XCEL TALENT, and it governs Your use of the Service.
9. XCEL TALENT reserves the right to use Your name and/or Your business name as a reference for marketing or promotional purposes on XCEL TALENT’s website and in other communication with existing or potential XCEL TALENT customers.
10. You acknowledge that XCEL TALENT may establish general practices and limits concerning use of the Service, including without limitation the maximum storage space that will be allotted on XCEL TALENT’s servers on Your behalf. You agree that XCEL TALENT has no responsibility or liability for the deletion or failure to store any content maintained or obtained by the Service.
11. The Service includes certain services that are available via a mobile device, including the ability to browse the Service and the Site from a mobile device and the ability to access certain features through an application downloaded and installed on a mobile device (collectively, the “Mobile Services”). To the extent You access the Service through a mobile device, Your wireless service carrier’s standard charges, data rates and other fees may apply.  In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by Your carrier, and not all Mobile Services may work with all carriers or devices. By using the Mobile Services, You agree that We may communicate with You regarding XCEL TALENT and other entities by SMS, MMS, text message or other electronic means to Your mobile device and that certain information about Your usage of the Mobile Services may be communicated to us.
12. The Services contain Third Party Data aggregated by XCEL TALENT from multiple sources. However, the nature of the Third Party Data and the collection processes limits the ability to independently verify and/or validate the Third Party Data and all Third Party Data is subject to change at any time without notice. Neither XCEL TALENT nor its Third Party Data sources warrant the comprehensiveness, completeness, accuracy or adequacy of the Third Party Data for any purpose. XCEL TALENT, its sources and their directors, employees, contractors, and agents disclaim all warranties, expressed or implied, as to any matter whatsoever and shall not be responsible for any loss or damage that may directly or indirectly arise as the result of the use of the Third Party Data contained in the Service.
13. Service Process and Fees. Users may use the Services to offer and accept opportunities to participate in a Brands marketing campaign. Brands may control which Creators are allowed to see and/or accept a proposal for a Brands campaign. When Brands and Creators decide to enter into an agreement with each other, we will share information with each User as necessary or requested, such as (i) the first and last name, social media account handles, and contact information, (ii) links to the other Users profile. (iii) details of the Brand, Creator, and/or Brands campaign (including campaign requirements). Users may enter into agreements with each other through XCEL TALENT Services by following the prompts to establish all desired terms and mutual acceptance of the agreed terms. When an agreement between Users is confirmed, we will send each User a message confirming such agreement. The message may be sent by in-application push message, posting to your account or Dashboard, email, and/or text message. In consideration of the Services, we receive from a Brand a fee (the{‘ ‘} Service Fee) in exchange for providing Brands access to the Services. The Service Fees are non-refundable. We do not currently charge Creators any service fee for use of the Service.
14. User Profiles. Registered Users may create a public profile listing, and contribute additional Content visible to other Users. Content means text, graphics, images, music, software (excluding the Application), audio, video, information or other materials. You understand and agree that the placement or ranking of your Profile in search results may depend on a variety of factors, including, but not limited to, Brand or Creator preferences, ratings and/or offered rates. You acknowledge and agree that you alone are responsible for any and all Content you post on the Service. If you are a Creator, Brands will be able to search your profile and will rely on the information to invite you to make a proposal on any offered work. When you post Content on the Services, you represent and warrant that you have the right, power, and authority to post that Content and grant the licenses specified below. You further represent and warrant that by posting or providing such Content you will not violate third-party rights of any kind, including, without limitation, any Intellectual Property Rights, rights of publicity, and privacy rights. To the extent your Content may be copyrightable, you represent, warrant, and covenant that you are the owner of all the copyright rights to such Content and that we may exercise the rights to your Content granted under the Terms without any liability or obligation for any payment. In addition, if you are a Creator, you are responsible for all social media postings you make, and you represent and warrant regarding those social media postings that: (a) they will be in compliance with all applicable laws, rules and guides (such as{‘ ‘} FTC Guides Concerning Sponsored Endorsements ); (b) that you have all necessary intellectual property and other rights to any posting; (c) your posting does not infringe the rights of any third party. We assume no responsibility for compliance with any agreements between Users, or duties owed by a User to a third party, or a Users compliance with applicable laws, rules and regulations. We reserve the right, at any time and without prior notice, to remove or disable access to any Profile or Content for any reason, including Profiles or Content that we, in our sole discretion, consider to be objectionable for any reason, in violation of these Terms or any of our then-current policies and guidelines, or otherwise harmful to the Service.

You represent and warrant to XCEL TALENT that (i) You have full power and authority to enter into this TERMS OF SERVICES and the Services Agreement; (ii) You own all Your Content or have obtained all permissions, releases, rights or licenses required to engage in Your posting and other activities (and allow XCEL TALENT to perform its obligations) in connection with the Services without obtaining any further releases or consents; (iii) Your Content and other activities in connection with the Service, and XCEL TALENT’s exercise of all rights and license granted by You herein, do not and will not violate, infringe, or misappropriate any third party’s copyright, trademark, right of privacy or publicity, or other personal or proprietary right, nor does Your Content contain any matter that is defamatory, obscene, unlawful, threatening, abusive, tortious, offensive or harassing; and (iv) You are eighteen (18) years of age or older.

The Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by XCEL TALENT or by third-party providers, or because of other causes beyond XCEL TALENT’s reasonable control. HOWEVER, THE SERVICE, INCLUDING THE SITE AND CONTENT, AND ALL SERVER AND NETWORK COMPONENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND XCEL TALENT EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT XCEL TALENT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE, NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES, AND NO INFORMATION, ADVICE OR SERVICES OBTAINED BY YOU FROM XCEL TALENT OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS TERMS OF SERVICES.

The Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by XCEL TALENT or by third-party providers, or because of other causes beyond XCEL TALENT’s reasonable control. HOWEVER, THE SERVICE, INCLUDING THE SITE AND CONTENT, AND ALL SERVER AND NETWORK COMPONENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND XCEL TALENT EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT XCEL TALENT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE, NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES, AND NO INFORMATION, ADVICE OR SERVICES OBTAINED BY YOU FROM XCEL TALENT OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS TERMS OF SERVICES.

1. Subject to Section 9 herein (Limitation of Liability), each Party (the “Indemnifying Party”) shall defend, indemnify, and hold harmless the other Party (the “Indemnified Party”) from and against any third-party claims, actions or demands, including without limitation reasonable legal and accounting fees, arising or resulting from the Indemnifying Party’s breach of this Agreement.  The Indemnified Party shall provide notice to the Indemnifying Party of any such claim, suit or demand.  The Indemnifying Party reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section. In such case, the Indemnified Party agrees to cooperate with any reasonable requests assisting the Indemnifying Party’s defense of such matter.

You may not remove or export from the United States or allow the export or re-export of the Services or anything related thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority.  As defined in FAR section 2.101, the software and documentation installed by XCEL TALENT on Your Equipment (if applicable) are “commercial items” and according to DFAR section 252.227 7014(a)(1) and (5) are deemed to be “commercial computer software” and “commercial computer software documentation.” Consistent with DFAR section 227.7202 and FAR section 12.212, any use modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. Government will be governed solely by the terms of this TERMS OF SERVICES and will be prohibited except to the extent expressly permitted by the terms of this TERMS OF SERVICES.

You acknowledge and agree that the copyright, trademark, trade secrets and any other intellectual property rights arising out of or related to the Services, including but not limited to any rights arising out of the compilation and presentation of Third Party Data (the “XCEL TALENT Intellectual Property”) is and shall remain with XCEL TALENT. You acknowledge that such XCEL TALENT Intellectual Property, regardless of form or format, is proprietary to XCEL TALENT, including (a) works of original authorship such as compiled information containing XCEL TALENT’s selection, arrangement and coordination and expression of such information or pre-existing material it has created, gathered or assembled; (b) confidential or trade secret information; and (c) information that has been created, developed and maintained by XCEL TALENT at great expense of time and money such that misappropriation or unauthorized use by others for commercial gain would unfairly and irreparably harm XCEL TALENT. You shall not commit or permit any act or omission by Your agents, employees or any third party that would impair XCEL TALENT’s proprietary and intellectual property rights in XCEL TALENT Intellectual Property. You agree to notify XCEL TALENT immediately upon obtaining any information regarding a threatened or actual infringement of XCEL TALENT’s Intellectual Property.

1. The Parties shall treat all information, tangible and intangible, received in connection with this Agreement, including but not limited to either Party’s business, policies, procedures, plans, services, products, intellectual property, data, customers, suppliers, methods, research, inventions, ideas or property and any and all demographic and psychographic information, including information made available by either Party before the Effective Date of this Agreement (“Confidential Information”), as strictly confidential and proprietary information. Confidential Information shall not include information that either Party can demonstrate: (i) is already publicly known when it is received or which is subsequently made public by the disclosing Party; (ii) was independently developed by the receiving Party without reference to Confidential Information; or (iii) was known by the receiving Party prior to being received from the disclosing Party and which was not subject to an obligation of confidentiality.
2. The Parties shall, during the Term and for a period of 2 years from the termination or expiration of this Agreement: (i) protect and safeguard the confidentiality of the disclosing Party’s Confidential Information with at least the same degree of care as the receiving Party would protect its own Confidential Information, but in no event with less than a commercially reasonable degree of care; (ii) not use the disclosing Party’s Confidential Information, or permit it to be accessed or used, for any purpose other than to exercise its rights or perform its obligations under this Agreement; and (iii) not disclose any such Confidential Information to any person, except to the receiving Party’s employees and contractors who need to know the Confidential Information to assist the receiving Party, or act on its behalf, to exercise its rights or perform its obligations under this Agreement. The receiving Party shall be responsible for any breach of this Section 13 caused by any of its employees or contractors. Each Party shall destroy all Confidential Information of the other Party immediately upon termination of this Agreement, including any notes, copies or other records containing or reflecting any Confidential Information.
3. Neither Party may assign this TERMS OF SERVICES or any Services Agreement without the prior written consent of the other Party; provided, however, that XCEL TALENT may assign or transfer this TERMS OF SERVICES, in whole or in part, without restriction and without Your prior consent, in the event of a change in control of XCEL TALENT, including but not limited to any merger, acquisition, or sale of all or substantially all of the assets of XCEL TALENT.

You may enable or log in to the Service via various online third party services, such as social media and social networking services like Facebook or Twitter (“Social Networking Services”). By logging in or directly integrating these Social Networking Services into the Service, We make Your online experiences richer and more personalized. To take advantage of these features and capabilities, We may ask You to authenticate, register for or log into Social Networking Services on the websites of their respective providers. As part of such integration, the Social Networking Services will provide us with access to certain information that You have provided to such Social Networking Services, and We will use, store and disclose such information in accordance with XCEL TALENT’s Privacy Policy. For more information about the implications of activating these Social Networking Services and XCEL TALENT’s use, storage and disclosure of information related to You and Your use of such services within XCEL TALENT (including Your friend lists and the like), please see XCEL TALENT’s Privacy Policy at http://www.danceinfluencers.com/privacy/. However, please remember that the manner in which Social Networking Services use, store and disclose Your information is governed solely by the policies of such third parties, and XCEL TALENT shall have no liability or responsibility for the privacy practices or other actions of any third party site or service that may be enabled within the Service. In addition, XCEL TALENT is not responsible for the accuracy, availability or reliability of any information, content, goods, data, opinions, advice or statements made available in connection with Social Networking Services. As such, XCEL TALENT is not liable for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Social Networking Services. XCEL TALENT enables these features merely as a convenience and the integration or inclusion of such features does not imply an endorsement or recommendation.

1. If any provision of this TERMS OF SERVICES or the Services Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this TERMS OF SERVICES or the Services Agreement will otherwise remain in effect and enforceable.  Except with respect to any Services Agreements executed by the parties, both parties agree that this TERMS OF SERVICES is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this TERMS OF SERVICES, and that all waivers and modifications must be in a writing signed by both parties, except as otherwise provided herein.  No agency, partnership, joint venture, or employment is created as a result of this TERMS OF SERVICES or any Services Agreement and You do not have any authority of any kind to bind XCEL TALENT in any respect whatsoever.  In any action or proceeding to enforce rights under this TERMS OF SERVICES, the prevailing party will be entitled to recover costs and attorneys’ fees.  All notices under this TERMS OF SERVICES will be in writing and will be deemed to have been duly given once sent.
